1. Acceptance of Terms
By accessing or using Personnel Finance AI ("the Service," "we," "our," or "us"), you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms") and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using the Service. These Terms constitute a legally binding agreement between you and Personnel Finance AI. By creating an account or continuing to use the Service, you represent that you are at least 18 years of age, have the legal authority to enter into this agreement on behalf of yourself or the business entity you represent, and are not prohibited from receiving the Service under the laws of any applicable jurisdiction.
2. Description of Service
Personnel Finance AI provides AI-assisted accounting, transaction management, budgeting, financial reporting, and automated trading tools designed for small and medium-sized businesses ("SMBs"). The Service includes, but is not limited to: (a) bank account aggregation via Plaid; (b) brokerage account connectivity for automated trading strategies through Alpaca and TastyTrade; (c) AI-powered chat-based financial analysis powered by Claude (Anthropic); and (d) portfolio tracking and financial data management. The Service is offered on a subscription basis under the Personal, Solo, Business, and Growth tiers. The Personal tier is available for individual consumer use. Solo, Business, and Growth tiers are designed for business use.
3. Account Registration
You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to promptly update such information to keep it accurate, current, and complete. You are responsible for safeguarding your authentication credentials, including any passwords or multi-factor authentication devices, and for all activities that occur under your account. You must notify us immediately at
security@personnelfinanceai.com of any unauthorized use of your account. We use Auth0 for identity and access management; by registering, you also accept Auth0's applicable terms of service.
4. Financial Services Disclaimer — PLEASE READ CAREFULLY
Personnel Finance AI is NOT a registered investment advisor, broker-dealer, financial planner, or tax preparer. The Service is not registered with or supervised by the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Commodity Futures Trading Commission (CFTC), or any state securities regulator.
Automated Trading Agents are tools, not financial advice. The automated trading strategies available through the Service (including but not limited to wheel strategy, covered calls, iron condors, DCA, mirror trading, and rebalancing bots) are algorithmic automation tools provided for informational and operational convenience only. They do not constitute investment advice, a recommendation to buy or sell any security, or a solicitation of any investment. You assume full responsibility for all trading decisions and resulting outcomes.
Past performance does not guarantee future results. Any historical performance data, backtests, signals, or analytics displayed by the Service are provided for informational purposes only and are not a reliable indicator of future performance. All investing involves risk, including the possible loss of principal. Options trading entails significant risk and is not appropriate for all investors.
Always consult a licensed professional. Nothing in the Service constitutes legal, tax, accounting, or investment advice. You should consult a licensed attorney, CPA, registered investment advisor, or other qualified professional before making any financial, legal, or tax decisions.
5. Data Ownership and Classification
You own your financial data. Personnel Finance AI acts as a data processor on your behalf. You retain all ownership rights to the financial data, transaction records, and business information you provide to or generate through the Service. We do not sell your data to third parties.
We process the following categories of data:
- Personally Identifiable Information (PII) — name, email address, business name, mailing address, and billing details.
- Financial Data — bank account numbers and balances retrieved via Plaid, brokerage account holdings and transaction history, invoices, expense records, and portfolio data.
- Credential Data — encrypted brokerage API keys and access tokens for Alpaca and TastyTrade, stored using AES-256-GCM encryption with server-held keys.
- Usage Data — feature interactions, session logs, AI chat history, and behavioral analytics used to improve the Service.

6. Subscription, Billing, and Refunds
Access to the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis via Stripe and are non-refundable except as required by applicable law. Available tiers — Personal, Solo, Business, and Growth — are described on our pricing page and may be updated from time to time.
We reserve the right to change subscription fees with at least 30 days' advance notice by email or in-app notification. If you do not agree to a fee change, you may cancel your subscription before the change takes effect; continued use after the effective date constitutes acceptance of the new pricing. Annual subscriptions cancelled before the end of the billing period are not entitled to prorated refunds unless required by law. In the event of a billing error, please contact billing@personnelfinanceai.com within 60 days of the charge.
7. Acceptable Use
You agree to use the Service only for lawful purposes. Prohibited activities include:
- Uploading false, fraudulent, or fabricated financial data to generate misleading reports or deceive any third party, including lenders or tax authorities.
- Using automated trading bots to engage in market manipulation, spoofing, layering, wash trading, or any activity that violates applicable securities laws or exchange rules.
- Using the Service to facilitate money laundering, terrorist financing, sanctions evasion, or any activity prohibited by the Bank Secrecy Act, OFAC regulations, or applicable anti-money laundering (AML) laws.
- Sharing account credentials with unauthorized parties or reselling access to the Service.
- Attempting to reverse-engineer, decompile, or extract the source code, AI models, or proprietary algorithms underlying the Service.
- Scraping, bulk-extracting, or using automated means to access the Service outside of authorized API use.
- Using the AI chat feature to generate advice intended for distribution to third parties as professional financial, legal, or tax counsel.
8. Regulatory Compliance — Your Responsibilities
You are solely responsible for your own regulatory and tax compliance. Personnel Finance AI is not a tax preparer, registered tax return preparer (RTRP), or enrolled agent. Outputs generated by the Service, including AI-generated reports and summaries, do not constitute filed tax returns or official financial statements and should not be relied upon as such without independent professional review.
Securities and margin regulations.If you use the Service's automated trading features, you are responsible for understanding and complying with: (a) FINRA Rule 4210 governing margin requirements; (b) Regulation T (12 C.F.R. Part 220) governing the extension of credit by brokers; (c) pattern day trader rules under FINRA Rule 4210(f)(8)(B); and (d) any exchange or broker-specific rules applicable to your trading activity. The Service does not monitor your margin status or enforce regulatory position limits on your behalf.
Broker terms. Your use of automated trading bots must comply with the terms of service of the applicable brokerage (Alpaca, TastyTrade, or any other connected broker). You represent that you have read and accepted those terms. Personnel Finance AI is not responsible for account restrictions, trading halts, or actions taken by a brokerage as a result of your trading activity.
Tax obligations. You are responsible for determining and fulfilling all applicable tax obligations arising from your use of the Service, including reporting capital gains, income, and any other taxable events generated by your investment or trading activity. We recommend consulting a licensed CPA or tax advisor.
9. Intellectual Property
All content, features, and functionality of the Service — including but not limited to text, graphics, logos, user interface design, AI models, trading algorithms, and software — are owned by Personnel Finance AI or its licensors and are protected by applicable intellectual property laws, including U.S. copyright, trademark, and trade secret law. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Service without our prior written consent. You retain ownership of all data and content you submit to the Service; by submitting content, you grant us a limited license to process and display it solely to provide the Service to you.
10. Privacy
Your use of the Service is governed by our
Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. Our use of AI services (Claude by Anthropic) means that certain data you submit through the AI chat feature is transmitted to Anthropic's API for processing; this data is not used to train Anthropic's models per Anthropic's API terms of service.
11. Termination
We reserve the right to suspend or terminate your account at any time for material violation of these Terms, non-payment, suspected fraudulent activity, or as required by law, with or without notice. Upon termination, your right to use the Service immediately ceases. You may export your data within 30 days following termination; after that period, we may delete your data subject to our data retention obligations described in the Privacy Policy. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of your current billing period.
12. Indemnification
You agree to indemnify, defend, and hold harmless Personnel Finance AI, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including securities laws, tax laws, and AML requirements; (d) your trading activity and any resulting losses or regulatory actions; or (e) any dispute between you and a third party, including your brokerage, bank, or counterparty.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PERSONNEL FINANCE AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, TRADING LOSSES, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY FINANCIAL DATA RETRIEVED FROM THIRD-PARTY SOURCES (INCLUDING PLAID, ALPACA, OR TASTYTRADE), OR THAT AI-GENERATED OUTPUTS ARE FREE FROM ERRORS OR SUITABLE FOR ANY PARTICULAR PURPOSE.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You consent to the personal jurisdiction of the state and federal courts located in San Francisco County, California for any matters not subject to arbitration under Section 16.
16. Dispute Resolution and Arbitration
Mandatory Arbitration. Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, rather than in court. The arbitration shall take place in San Francisco, California, or via videoconference if mutually agreed.
Class Action Waiver. YOU AND PERSONNEL FINANCE AI EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity only.
Opt-Out. You may opt out of the arbitration agreement by sending written notice to legal@personnelfinanceai.com within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.
17. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. The most current version of these Terms will always be available at
